Gemperts provides technology consulting services including but not limited to Artificial Intelligence, Cybersecurity, Software Development, Data Center solutions, and IT Staff Augmentation. The specific scope of services will be detailed in individual service agreements or statements of work.

3. Intellectual Property Rights

All content, features, and functionality on the Gemperts website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of Gemperts or its content suppliers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Unless otherwise specified in a written agreement, all deliverables and work products created as part of our services shall be subject to the intellectual property terms outlined in the respective service agreement.

4. User Responsibilities

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates any applicable laws or regulations
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our services
• Attempt to gain unauthorized access to any portion of our systems or networks

6. Payment Terms

Payment terms for services will be specified in individual service agreements or statements of work. Unless otherwise stated, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges as specified in the service agreement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Gemperts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

8. Warranties and Disclaimers

While we strive to provide high-quality services, our services are provided "as is" without warranty of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure. Specific warranties for deliverables will be outlined in individual service agreements.

9. Termination

Either party may terminate a service agreement as specified in the respective agreement. Gemperts reserves the right to suspend or terminate your access to our services immediately, without prior notice, for any breach of these Terms or for any other reason we deem appropriate.

10. Privacy Policy

Your use of our services is also governed by our Privacy Policy. We are committed to protecting your personal information and handling it in accordance with applicable data protection laws.

11. Modification of Terms

Gemperts reserves the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the new Terms on our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts in India.
